Classic Cream E-Bakery – Retailer Terms & Conditions

1. Acceptance of Terms

By registering as a Retail Partner or purchasing products from Classic Cream E-Bakery Website in a retail capacity, you confirm that you have read, understood, and agree to be bound by these Retailer Terms & Conditions , our Privacy Policy, and any applicable policies referenced herein.

If you do not agree, you must not register or transact as a Retailer.

2. Definitions

We/Us/Our – Classic Cream Bakery Ltd.
You/Retailer – Any approved supermarket, grocery store, or retail outlet purchasing bread loaves for resale.
Services – Includes wholesale ordering, delivery, account management, and related business services.
KYC – Know Your Customer verification process required for Retailer approval.

3. Eligibility & Retailer Approval

3.1 Business Requirement

To qualify as a Retailer, you must:

  • Operate a legitimate retail business (supermarket, grocery store, mini-mart.).

  • Be located within our approved service areas (currently Lagos).

  • Intend to resell Classic Cream products to end consumers.

3.2 Mandatory KYC Documentation

Retailers must provide complete and accurate business information, including but not limited to:

  • Business name.

  • Business registration documents (optional)

  • Business address verification

  • Active phone number and email address.

  • Photo of front view of retail outlet. 

Failure to provide accurate KYC documentation may result in rejection, suspension, or termination.

3.3 Approval Rights

Retailer status is subject to review and approval at our sole discretion. We reserve the right to approve, reject, suspend, or revoke Retailer status at any time.

4. Wholesale Pricing

4.1 Approved Retailers shall purchase bread at the wholesale rate of:

₦1,850 (One Thousand Eight Hundred and Fifty Naira) per loaf with a minimum order of 10 loaves.

4.2 We reserve the right to modify wholesale pricing with prior notice.

5. Mandatory Weekly Purchase Requirement

5.1 To maintain active Retailer status on the Platform, Retailers must place at least one order every week.

5.2 Failure to purchase in any given week may result in:

  • Temporary suspension from the Retailer program

  • Removal from the Website listing (if applicable)

  • Permanent termination after repeated non-compliance

5.3 The Company reserves the right to introduce minimum order quantities where necessary.

6. Orders & Payment

6.1 Order Acceptance

All wholesale orders are subject to availability and confirmation.

6.2 Payment Terms

  • Full payment is required before delivery.

  • Payments are processed via approved payment methods ( Paystack or bank transfer).

  • Orders are confirmed only upon successful payment verification.

6.3 Payment Processing & Liability

Payments processed through third-party providers are subject to their operational policies. We are not liable for processor outages, delays, reversals, or banking errors beyond our control.

7. Delivery

7.1 Coverage

Retail deliveries are currently available only within Lagos.

7.2 Risk Transfer

Risk and responsibility for products transfer to the Retailer upon successful delivery and acknowledgment.

7.3 Inspection

Retailers must inspect goods upon delivery. Any complaint regarding quantity or damage must be reported immediately.

8. Product Handling & Storage

Retailers agree to:

  • Maintain hygienic storage conditions

  • Store products away from contamination, excessive heat, or moisture

  • Practice proper stock rotation (FIFO – First In, First Out)

We are not liable for spoilage, damage, or loss occurring after delivery due to improper handling.

9. Retail Conduct & Brand Representation

Retailers shall:

  • Not alter, relabel, or tamper with product packaging

  • Not misrepresent Classic Cream products

  • Maintain brand integrity when reselling

Unauthorized use of branding materials is prohibited.

10. Pricing & Resale

Retailers are independent resellers. While resale pricing may be determined by the Retailer, we reserve the right to issue recommended retail pricing guidelines to protect brand positioning.

11. Undelivered Orders & Re-Delivery

If delivery fails due to:

  • Incorrect or incomplete address

  • Retailer unavailability

The order will be returned to our hub.

Redelivery will attract an additional delivery charge of ₦1,000.

Refunds will not apply in cases of Retailer-side error.

12. Refund & Replacement Policy

Due to the perishable nature of bread:

  • Claims for damaged or incorrect items must be made immediately upon delivery.

  • Verified cases may qualify for replacement at our discretion.

  • Refunds are not available once goods have been accepted without complaint.

13. Force Majeure

We shall not be liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, strikes, government actions, or civil unrest.

14. Intellectual Property

All trademarks, logos, designs, and materials remain the exclusive property of Classic Cream Bakery Ltd. Retailers are granted limited use strictly for resale promotion.

15. Confidentiality

Retailers agree to keep confidential:

  • Any non-public information shared.

16. Suspension & Termination

We may suspend or terminate Retailer status if:

  • Weekly purchase requirement is not met

  • False KYC information is provided

  • Brand misuse occurs

  • There is violation of these Terms

  • Unlawful activity is detected

Termination does not relieve outstanding payment obligations.

17. Limitation of Liability

Our liability shall not exceed the value of the wholesale order in dispute.

We are not liable for indirect, incidental, or consequential losses, including loss of profit or resale losses.

18. Indemnification

Retailers agree to indemnify and hold Classic Cream harmless from claims, liabilities, or damages arising from resale activities, storage issues, or breach of these Terms.

19. Amendments

We reserve the right to update these Retailer Terms at any time. Continued participation in the Retailer program constitutes acceptance of updated terms.

20. Severability & Waiver

If any clause is deemed invalid, the remaining provisions remain enforceable. Failure to enforce a right does not constitute waiver.

21. Governing Law & Jurisdiction

These Retailer Terms shall be governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved exclusively in Nigerian courts.
